Terms of Use

1. Acceptance of Terms

By accessing or using euaiactchecklist.com (the "Site") or purchasing any products from the Site, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site or purchase products. These Terms form a binding legal agreement between you and HumanAudit Inc., a Delaware corporation ("we", "us", "Company").

2. Products and Digital Downloads

2.1 Digital Delivery. All products are delivered as digital downloads. Immediately after successful payment via Stripe, you will be redirected to a thank-you page where you can download your purchased documents as a ZIP archive containing PDF and Microsoft Word (.docx) files. As a backup, we also email your download link to the email address you provided at checkout within 1 business day of purchase.

2.2 Refund Policy. Due to the digital nature of our products, we generally do not offer refunds after download has occurred. If you experience a technical issue with your download, please contact us at support@euaiactchecklist.com within 7 days of purchase and we will resolve the issue or provide a replacement. In cases of genuine error on our part (e.g. wrong product delivered), we will issue a full refund.

2.3 Product Updates. Prices and product contents may change without notice. Purchased products include the version available at the time of purchase. The White-Label Consultant License ($999/yr) includes annual updates during the active license period.

3. License Terms

3.1 Checklist Pack ($149) and Full Readiness Bundle ($499). Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use the purchased documents within your single organisation. You may customise the documents with your organisation's branding and details. You may not resell, sublicense, redistribute, or share the documents with third parties outside your organisation.

3.2 White-Label Consultant License ($999/yr). Upon purchase and for the duration of the annual license period, we grant you a non-exclusive license to: (a) use all 11 compliance documents; (b) rebrand the documents with your firm's identity; (c) use the documents in client engagements on an unlimited basis; and (d) charge clients for services that incorporate the documents. You may not: resell the raw documents themselves as standalone products; sublicense this white-label right to any third party; or represent the documents as your original work without modification.

3.3 Free Resources. Free resources (including the EU AI Act 5-Point Express Compliance Check) are provided for personal and internal business use only. Redistribution of free resources for commercial purposes is not permitted without our express written consent.

3.4 Site Content. All content on the Site, including text, graphics, design, and structure, is owned by or licensed to HumanAudit Inc. and is protected by applicable copyright law. You may not reproduce, copy, or distribute Site content for commercial purposes without our prior written consent. You may share links to Site pages.

4. Intellectual Property

All intellectual property rights in the Site, its content, and our products are owned by or licensed to HumanAudit Inc. The EU AI Act Checklist brand, trade name, and associated marks are proprietary to HumanAudit Inc. You are granted no right, title, or interest in any intellectual property except as expressly set out in these Terms.

The EU AI Act (Regulation EU 2024/1689) is a public document of the European Union. Our products contain our original analysis, commentary, frameworks, and templates based on that regulation, these original elements are protected by copyright. Factual summaries of publicly available regulatory text are not claimed as proprietary.

5. Disclaimer of Warranties

THE SITE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the content accurately reflects the current state of the law or regulatory guidance; (b) the content is complete, accurate, or up to date; (c) use of our products will result in regulatory compliance; or (d) our products are free from errors or omissions. EU AI Act regulatory guidance continues to evolve, and content may not reflect the most recent developments.

6. Not Legal Advice

Nothing on this Site or in our products constitutes legal advice, legal opinion, or a legal opinion letter. The content is provided for general informational and educational purposes only. We are not a law firm and we do not provide legal services. The existence of a lawyer-client relationship cannot be established through the use of our Site or products.

EU AI Act compliance is a complex, fact-specific undertaking that depends on the nature of your AI systems, your organisation's structure, and your applicable jurisdiction. You should always consult qualified legal counsel licensed in your jurisdiction before making compliance decisions or representations to regulatory authorities.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUMANAUDIT INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR REGULATORY FINES AND PENALTIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for all claims arising from or related to these Terms or your use of the Site or products shall not exceed the amount paid by you to us in the 12 months preceding the claim, or €100, whichever is greater.

8. Acceptable Use

You agree not to use the Site or products to: (a) violate any applicable law; (b) infringe any third-party intellectual property rights; (c) scrape, copy, or reproduce Site content in bulk by automated means; (d) introduce malicious code or attempt to gain unauthorised access to our systems; or (e) make false or misleading representations about your compliance status to regulatory authorities based on our products.

9. Third-Party Links and Services

The Site may contain links to third-party websites and services. These links are provided for convenience only. We have no control over, and assume no responsibility for, the content or practices of any third-party sites. Links do not constitute endorsement of the linked site or its content.

Purchases are processed by Stripe, which also acts as merchant of record for tax compliance in the EU, UK, and 80+ jurisdictions. Use of Stripe's services is subject to their own Terms of Service and Privacy Policy.

10. Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified via notice on the Site. Continued use of the Site or products after modification constitutes acceptance of the revised Terms. If you do not agree to revised Terms, your remedy is to cease using the Site and products.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising from these Terms or your use of the Site or products shall be subject to the exclusive jurisdiction of the courts of the State of Delaware.

For users in the European Union: nothing in these Terms affects your rights under mandatory EU consumer protection laws applicable in your member state.

12. Severability

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
